TUPE & Business Transfer Desk
A practical course for teams delivering employment consultations in Germany around TUPE-style transfers and business sales — from scoping the workforce to closing the consultation loop.
Modules
Each module pairs a short briefing with a worked scenario drawn from German transfer patterns.
1. Transfer landscape in Germany
How automatic transfer concepts interact with commercial deal structures, asset deals, and shared services carve-outs.
2. Who is in scope
Workforce mapping, temporary staff edges, and documenting the organised grouping that may move with the activity.
3. Information & consultation rhythm
Works council and employee communication sequencing, minutes that survive scrutiny, and what “too late” usually looks like.
4. Terms, liabilities, and day-one letters
What typically continues, where renegotiation temptation creates risk, and how to brief managers before rumours fill the gap.
5. Integration checks after close
Ninety-day review habits: payroll continuity, policy collisions, and escalation paths when facts change after signing.
Learning outcomes
After the Desk, participants should be able to:
- Explain transfer eligibility in plain language to non-lawyers
- Build a consultation calendar tied to deal milestones
- Spot gaps between SPA warranties and employment reality
- Draft a day-one briefing pack for line managers

FAQ
Is this a substitute for external counsel?
No. The course builds internal judgment and preparation habits. Material transfer decisions still need qualified legal advice for your facts.
Do you cover UK TUPE and German law side by side?
We reference UK TUPE as a comparative label many international teams use, then centre German transfer rules and consultation practice. Cross-border notes appear in module one, not as a dual qualification track.
What is a real limitation of the programme?
We do not run live negotiations with your works council or review your SPA. If your deal is already in a disputed consultation, you need counsel on the file — this cohort will not litigate or mediate for you.
How much time should we budget?
Plan for roughly twelve guided hours plus two to three hours of scenario homework. Most teams spread it across three weeks.
Learner notes
“Module two’s workforce map stopped us from sending a blanket transfer letter to contractors who were never in scope.”
★★★★☆ · “Solid on consultation timing. Wish the payroll checklist had more SAP-specific screenshots, but the logic was sound.”
